The sample is invoice LD-0426 to a coffee roaster for a logo and mini brand kit, with the final files delivered Nov 21, 2026:

• Logo concepts: 3 initial concepts, three directions from the brief, at 250.00 each, 750.00.
• Refinement rounds: an additional round, round 3, for icon spacing and wordmark weight, 175.00.
• Final files and brand kit: the final logo files in vector, PNG and SVG, in color and black and white, 400.00, and a mini brand kit with colors, fonts and a one-page usage sheet, 350.00, for 750.00.
• Subtotal and total: 1,675.00, with sales tax at 0%.
• Less: deposit received: 750.00, received on Oct 26, 2026 to start the project.
• Amount due: 925.00. The invoice is dated Nov 24, 2026 on Net 14 terms, so it's due Dec 8, 2026.

The project notes give sample terms: two refinement rounds are included, further rounds are 175.00 each, and the final files are released for the use in the Project block once the amount due is received. Change them to your own terms. These figures only show how the form works; they aren't typical rates.

The Usage and rights line restates what you and the client agreed; it doesn't transfer the rights by itself. In the US, the Copyright Act says:

• Ownership starts with the designer, unless the logo is a work made for hire. "Copyright in a work protected under this title vests initially in the author or authors of the work" (17 U.S.C. § 201(a)). But "In the case of a work made for hire, the employer or other person for whom the work was prepared is considered the author for purposes of this title, and, unless the parties have expressly agreed otherwise in a written instrument signed by them, owns all of the rights comprised in the copyright" (17 U.S.C. § 201(b)). When a commissioned work counts as one is set out in Circular 30, below.
• Handing over the files isn't a transfer. "Transfer of ownership of any material object, including the copy or phonorecord in which the work is first fixed, does not of itself convey any rights in the copyrighted work embodied in the object" (17 U.S.C. § 202).
• A transfer needs a signed writing. A transfer of copyright ownership "is not valid unless an instrument of conveyance, or a note or memorandum of the transfer, is in writing and signed by the owner of the rights conveyed or such owner's duly authorized agent" (17 U.S.C. § 204(a)). The Act's definition of a "transfer of copyright ownership" includes an exclusive license but not a nonexclusive one (17 U.S.C. § 101).

A commissioned logo isn't automatically a "work made for hire" either. The US Copyright Office's Circular 30 (revised August 2024) says a specially ordered or commissioned work is one only if it falls within one of nine listed categories and the parties expressly agree, in writing signed by all of them, that it's a work made for hire. "If a work fails to satisfy any of these requirements, it is not a work made for hire."

So if the client is to own the logo, set out the assignment in an agreement you both sign, and restate it on the Usage and rights line. Outside the US, check the law where you work. This page isn't legal advice.
